H-E Parts International Acquires Grace Track Service, Inc.
H-E PARTS INTERNATIONAL ACQUIRES GRACE TRACK SERVICE, INC., THE MIDWEST LEADER IN HEAVY EQUIPMENT UNDERCARRIAGE PARTS, MAINTENANCE AND REPAIR

Atlanta - Wednesday, November 1, 2006 - H-E Parts International, LLC, today announced it has completed the acquisition of Grace Track Service, Inc. (GTS), the leading Midwest distributor of aftermarket undercarriage parts and authorized BERCO dealer. GTS is located outside of Des Moines, Iowa. The terms of the transaction were not disclosed.
Atlanta-based H-E Parts is headed by Mr. J.P. Richard, the former CEO of Massey Ferguson and AGCO Corporation (NYSE: AG), a global leader in farm equipment and parts distribution, and is funded by Frontenac Company, a Chicago-based private equity firm. Mr. Richard was also formerly the CEO of Pro Mach, Inc., a leading provider of integrated packaging solutions and also financed by Frontenac. Mr. Richard said, "H-E Parts is a new company formed with the objective of becoming the premier worldwide distributor of quality used/refurbished equipment and components, as well as aftermarket parts, primarily to the Mining and Construction sectors. The successive acquisition of Dom-Ex, the largest North American distributor of reconditioned heavy equipment and parts, TractoAmerica, a major distributor of quality replacement parts for South Florida and Latin America, and now Grace Track Service (soon to be followed by several other similar acquisitions) is a clear indication of the successful steps taken towards accomplishing our goal".
As in the case of Dom-Ex and TractoAmerica, the present management team of GTS (with the exception of Jon Struthers Sr., who will be retiring) will remain in place. Commenting on the acquisition, Jon Struthers Sr. said "This is a big day for Grace Track Service, Inc. after almost 75 years of ownership by the same family. I believe that the present management team is fully capable, with the help of H-E Parts management and the many synergies with present and future "sister" H-E Parts companies, to bring Grace Track to a new level of sales and services. This should be exciting news for all GTS customers, as well as employees".
