H-E Parts International Acquires Tractoamerica

H-E PARTS INTERNATIONAL ACQUIRES TRACTOAMERICA LEADING DISTRIBUTOR OF QUALITY REPLACEMENT PARTS FOR CATERPILLAR EQUIPMENT

President Roger Teran and His Team To Remain In Place

Atlanta - Monday, May 15th 2006 - H-E Parts International, LLC, today announced it has completed the acquisition of Tractoamerica, Inc. one of North and Latin America's leading suppliers of Quality Replacement Parts for Caterpillar and Komatsu Equipment. Terms of the transaction were not disclosed.

Atlanta-based H-E Parts is headed by Mr. J.P. Richard, the former CEO of Massey Ferguson and AGCO Corporation (NYSE: AG), a global leader in farm equipment and parts distribution, and is funded by Frontenac Company, a Chicago-based private equity firm. Mr. Richard was also formerly the CEO of Pro Mach, Inc., another company financed by Frontenac. Richard said, "H-E Parts is a new company formed with the objective of becoming the premier worldwide distributor of Quality used/refurbished equipment and components as well as Aftermarket parts primarily to the Mining and Construction sectors, The acquisition last February of Dom-Ex, the largest North American distributor of reconditioned Heavy Equipment and Parts quickly followed by the acquisiton of TractoAmerica are major steps toward achieving this goaL"

As is the case for Dave Ellefson, the President of Dom-Ex, Roger Teran will continue to run TractoAmerica, the Company he has helped build. He will also be a major strategic strategic and financial partner in the successful accomplishment of H-E Parts' objectives. Other members of the TractoAmerica management team will remain in place at the company's headquarters in Miami, Florida which are planned to be expanded to take advantage of growing market opportunities in South Florida and Latin America.

Commenting about the acquisition, Roger Teran said, "This is going to be a winwin situation for both H-E Parts and TractoAmerica's customers, suppliers and employees.
